1. Introduction
Welcome to the Hatcher Innovations Global Partner Network.
Hatcher Innovations, operating under the Hatcher Tech brand and through its associated product brands, including Hatcher Mobility and igofor, is committed to building a trusted international network of distributors, wholesalers, retailers, sales agents, affiliates and commercial partners.
We believe successful partnerships are built on professionalism, transparency, mutual respect, brand consistency and a shared commitment to delivering innovative, high-quality products to customers worldwide.
These Global Partner Terms of Engagement establish the minimum standards and responsibilities expected of any business or individual authorised to represent, promote, distribute, market or sell Hatcher Innovations products.
For the purposes of these terms, "Hatcher" refers to the legal entity or entities identified in the applicable partner appointment agreement as the supplier or rights holder. "Partner" refers to any authorised distributor, retailer, reseller, sales agent, affiliate, ambassador or other commercial representative, as applicable.
These terms apply to Partners who expressly accept them as part of their onboarding or appointment. Submitting an enquiry alone does not establish a partnership.
2. Partner Appointment and Authorisation
All partnerships are subject to review and approval by Hatcher Innovations.
Submitting an enquiry, receiving product information or participating in preliminary commercial discussions does not automatically establish an authorised partnership.
Partners may only represent, promote, distribute or sell Hatcher products within the scope of their approved commercial arrangement.
Unless expressly agreed in writing:
- No Partner receives exclusive territorial rights.
- No Partner may appoint sub-distributors, sub-agents or other representatives on behalf of Hatcher.
- No Partner may represent themselves as an owner, employee, subsidiary or legal representative of Hatcher.
- No Partner may enter into contracts or make commitments on Hatcher's behalf.
- No Partner may claim official or exclusive status beyond their approved appointment.
Hatcher reserves the right to approve, decline or review partnership applications at its discretion, subject to applicable law.
3. Brand Ownership and Intellectual Property
All intellectual property associated with Hatcher Innovations, Hatcher Tech, Hatcher Mobility, igofor and their respective products remains the property of its lawful owners.
This includes, where applicable:
- Patents and patent applications
- Inventions and technical innovations
- Registered and unregistered trademarks
- Product names and logos
- Industrial designs and product designs
- Engineering drawings and technical documentation
- Software, firmware and proprietary technology
- Copyrighted content
- Marketing materials and brand assets
- Trade secrets and confidential know-how
- Other proprietary intellectual property
A partnership does not transfer any ownership interest in these assets.
Partners receive only the limited permissions expressly granted to them for their authorised activities.
Partners are commercial representatives or resellers, not owners of Hatcher's inventions, technology or intellectual property.
4. Protection of Patents, Inventions and Proprietary Technology
Partners must respect and protect Hatcher's intellectual property and proprietary technology at all times.
Without prior written authorisation, Partners must not:
- Apply for patents or design registrations covering Hatcher products, inventions, technical developments or proprietary designs.
- Register Hatcher trademarks, logos, product names or confusingly similar marks in any country.
- Claim ownership or inventorship of Hatcher-developed technology without a legitimate legal basis.
- Copy or reproduce proprietary engineering designs.
- Attempt to obtain intellectual property rights through unauthorised access to confidential technical information.
- Assist third parties in misappropriating Hatcher intellectual property.
- Challenge or misrepresent Hatcher's ownership through false or unauthorised filings.
Partners must promptly notify Hatcher if they become aware of suspected infringement, counterfeiting or unauthorised use of its intellectual property.
Nothing in these terms prevents a Partner from owning genuinely independent intellectual property or exercising rights that cannot lawfully be restricted.
5. Product Integrity and Modification Restrictions
Hatcher products must be represented and supplied in their authorised condition.
Partners must not modify, adapt, reconstruct, reverse-engineer, reprogram or otherwise alter Hatcher products without prior written approval, except where expressly permitted by applicable law.
Prohibited unauthorised activities include:
- Altering mechanical or electronic components.
- Modifying safety systems or operating functions.
- Changing product specifications or performance characteristics.
- Replacing official product identification or serial numbers.
- Removing or changing safety labels.
- Installing unauthorised software or firmware.
- Manufacturing copies or derivative products.
- Using Hatcher components to create unauthorised products.
- Altering product packaging in a way that misrepresents the product or its origin.
Any approved modification must be documented and comply with applicable product safety and regulatory requirements.
6. No Private Labelling or Unauthorised Rebranding
Partners must not sell or promote Hatcher products under their own brand, trademark or product identity without express prior written permission.
This includes:
- Private-label arrangements
- White-label arrangements
- Removing Hatcher or igofor branding
- Replacing product logos
- Renaming products
- Claiming products were invented or manufactured by the Partner
- Presenting Hatcher technology as the Partner's proprietary technology
Any co-branding, private-label distribution or alternative branding arrangement must be separately negotiated and approved in writing.
7. Marketing, Advertising and Brand Guidelines
Maintaining a consistent and professional global brand identity is a fundamental requirement of every Hatcher partnership.
All Partners must follow the current Hatcher Innovations brand guidelines and any product-specific marketing requirements.
These standards apply across all marketing and sales channels, including:
- Websites and landing pages
- Social media profiles and posts
- Paid digital advertising
- Search engine advertising
- Online marketplaces
- Product listings
- Printed brochures and catalogues
- Sales presentations
- Email marketing
- Videos and photography

- Packaging and point-of-sale materials
- Public relations and media communications
All newly created, adapted or materially modified marketing and sales materials relating to Hatcher products must receive prior written approval from the Hatcher Chief Marketing Officer (CMO) or an expressly authorised delegate before publication or distribution.
Partners may use official, pre-approved marketing assets within their approved scope and in accordance with the applicable brand guidelines.
Partners must not alter approved materials in a way that changes product claims, branding, technical information or the intended message without further approval.
Written approval may be provided by email or another official Hatcher-approved communication channel.
Hatcher may require any non-compliant marketing material to be corrected, suspended or removed.
8. Advertising Claims and Product Representations
Partners must ensure all advertising and product representations are accurate, truthful and supported by approved product information.
Partners must not make unauthorised claims concerning:
- Product safety
- Medical or therapeutic benefits
- Disability or rehabilitation outcomes
- Product performance
- Weight capacity
- Battery range or charging performance
- Transport or airline suitability
- Product certifications
- Regulatory approvals
- Warranties
- Product availability
- Manufacturing origin
- Exclusive distribution rights
Partners must not describe a product as medically approved, clinically proven, certified or suitable for a particular regulated use unless that statement is supported by applicable documentation and approved for the relevant market.
Where products are marketed internationally, Partners must ensure that claims, translations and product information are appropriate for their local market.
9. Digital Marketing and Online Sales
Partners may promote and sell Hatcher products online only through channels authorised under their partnership arrangements.
Without written permission, Partners must not:
- Register domain names that impersonate Hatcher or its brands.
- Create social media accounts falsely presenting themselves as official Hatcher corporate accounts.
- Use misleading company names or brand identities.
- Publish unauthorised product specifications or promotional claims.
- Launch unapproved advertising campaigns using Hatcher trademarks.
- Use Hatcher branding in a way that misleads customers about the Partner's identity or authority.
- Create or distribute counterfeit or unauthorised product listings.
Partners must clearly identify their own business when operating independent retail or distribution channels.
Any use of Hatcher trademarks in advertising, website addresses, social account names or search campaigns must comply with Hatcher's written brand and channel policies.
10. Pricing and Commercial Arrangements
Wholesale prices, purchase conditions, payment terms, shipping arrangements, commissions, discounts, territories and other commercial arrangements will be established separately where applicable.
Partners remain responsible for their own commercial operations and must comply with applicable competition and consumer laws.
Any recommended retail pricing supplied by Hatcher must be treated in accordance with applicable local competition law.
No minimum resale price, exclusive territory or guaranteed commercial return is created by these general terms.
11. Customer Service, Product Safety and Warranty Responsibilities
Partners must conduct business professionally and provide customers with accurate information.
Partners must:
- Follow approved product handling and storage requirements.
- Provide applicable product instructions and safety information.
- Communicate warranty terms accurately.
- Handle customer complaints professionally.
- Promptly report suspected product defects or safety incidents to Hatcher.
- Cooperate with lawful product recalls and corrective actions.
- Maintain required records where applicable.
- Comply with consumer protection and product safety obligations.
Partners must not independently modify official product warranties or make additional warranty commitments on Hatcher's behalf without written authorisation.
Nothing in these terms removes mandatory consumer rights or statutory obligations.
12. International Trade and Regulatory Compliance
Partners are responsible for complying with laws applicable to their own activities and territories.
These may include:
- Import and export requirements
- Customs and duties
- Product registration
- Product safety standards
- Advertising regulations
- Consumer protection laws
- Privacy and data protection laws
- Anti-bribery and anti-corruption laws
- Sanctions and trade restrictions
- Applicable medical-device or mobility-equipment regulations
Partners must not market or sell products in jurisdictions where the relevant products lack legally required approvals or authorisations.
Hatcher and the Partner will separately determine responsibility for product certifications, importation and other regulatory matters where necessary.
13. Confidentiality
Partners may receive confidential business or technical information during their relationship with Hatcher.
Such information may include:
- Wholesale pricing
- Commercial terms
- Product roadmaps
- Unreleased products
- Technical documentation
- Engineering information
- Business strategies
- Customer or distributor information
- Marketing plans
- Non-public financial or operational information
Partners must not disclose or misuse confidential information except as authorised or legally required.
Confidential information may only be used for legitimate purposes connected with the approved partnership.
These obligations continue after the partnership ends, subject to applicable law and any separate confidentiality agreement.
14. Ethical Conduct and Professional Standards
Hatcher expects its Partners to conduct business honestly, fairly and professionally.
Partners must not engage in:
- Fraudulent or deceptive conduct
- False product representations
- Counterfeit sales
- Bribery or corruption
- Misleading customer acquisition practices
- Unauthorised use of customer information
- Conduct that unlawfully infringes third-party rights
Partners must also avoid misleading statements about Hatcher, its products, competitors or other authorised partners.
15. Affiliates, Ambassadors and Content Creators
Affiliates, ambassadors and creators are also expected to comply with Hatcher's brand, intellectual property and marketing standards.
Any commission, referral payment, product sponsorship or ambassador arrangement must be separately agreed in writing.
Affiliates and ambassadors must:
- Clearly disclose commercial relationships where required by law.
- Use approved or authorised product claims.
- Avoid misleading testimonials.
- Obtain permission before using protected brand assets outside the approved scope.
- Comply with applicable advertising and endorsement rules.
- Submit new or materially modified promotional content for required marketing approval.
Participation does not create employment, agency authority or ownership rights.
No commission entitlement is created solely by these general terms.
16. Monitoring and Brand Protection
Hatcher reserves the right to monitor publicly available marketing and sales activity involving its brands and products.
Where reasonably necessary to verify compliance, Hatcher may request relevant marketing samples, product listings, advertising materials or compliance documentation from Partners, subject to applicable law and the parties' agreements.
If a Partner publishes unauthorised or non-compliant material, Hatcher may require its prompt correction or removal.
Partners must cooperate with reasonable brand protection and product compliance requests.
17. Suspension and Termination
Hatcher may suspend a Partner's authorisation or terminate the relationship in accordance with the applicable agreement and law.
Serious breaches may justify immediate suspension or termination where legally permitted.
Examples include:
- Intellectual property misuse
- Unauthorised product modifications
- Counterfeiting
- Unauthorised rebranding
- Serious or repeated marketing violations
- False product safety or medical claims
- Fraudulent activity
- Unlawful conduct
- Misuse of confidential information
- Conduct creating material product safety risks
For less serious breaches, Hatcher may provide written notice and a reasonable opportunity to correct the issue.
Upon termination, Partners must cease representing themselves as authorised Hatcher partners and discontinue use of Hatcher intellectual property except where continued use is expressly authorised or legally permitted.
The treatment of remaining inventory, outstanding orders, payments and customer obligations will be governed by the applicable commercial agreement and mandatory law.
18. Independent Business Relationship
Unless a separate written agreement expressly provides otherwise, Partners operate as independent businesses.
Nothing in these terms creates an employment relationship, legal partnership, joint venture or general agency relationship.
Partners are responsible for their own employees, contractors, taxes, expenses and business operations.
No Partner may bind Hatcher to obligations without express written authority.
19. Changes to These Terms
Hatcher may update these terms to reflect changes in brand standards, product requirements, operational procedures or applicable law.
Material changes affecting existing Partners will be communicated as required by the applicable agreement and law.
Changes will not automatically override existing negotiated contractual rights.
20. Acceptance and Acknowledgement
By expressly accepting these terms as part of an authorised Partner application, onboarding process or agreement, the Partner acknowledges that they have read and understood the applicable requirements.
In particular, the Partner acknowledges that:
- Hatcher's intellectual property remains the property of its lawful owners.
- No ownership of Hatcher inventions or technology is transferred.
- Unauthorised product modifications and rebranding are prohibited.
- Marketing and sales materials must comply with Hatcher's brand guidelines and approval requirements.
- New or materially modified promotional materials require approval from the Chief Marketing Officer or an authorised delegate.
- The Partner must comply with applicable laws and the scope of their approved appointment.
- Breaches may result in suspension or termination of authorisation.
These terms form part of a Partner's contractual obligations only when validly incorporated into an accepted agreement or onboarding process.
